Terms of Service
The agreement between your business and Funnelish for using the platform. It covers your account, the services, fees and taxes, acceptable use, data, liability and how disputes are handled.
Effective 21 October 2026
Version 3.0
IN SHORT
Funnelish is for businesses. By signing up you confirm you are acting for a business, and
consumer protection rules do not apply.
Your contracting party is Funnelish Pte. Ltd. (Singapore) for accounts created from 21 October 2026, or Ginigo Ltd (UK) for earlier accounts. Both are shown on your invoices.
You sell to your own customers and are responsible for your products, policies, taxes and compliance. We provide the platform.
Fees exclude VAT, GST and sales tax. Most business customers outside the country of their contracting party account for tax themselves under the reverse charge.
Subscriptions renew automatically. Cancel any time; a first subscription is refundable within 30 days.
Singapore law and SIAC arbitration apply to Funnelish Pte. Ltd. accounts; English law and courts apply to Ginigo Ltd accounts.

CONTENTS
1. Who we are and who you contract with
Funnelish is an eCommerce platform for building sales funnels, storefronts, checkouts and the operations around them. It is operated by two companies in the same group. Which one is your contracting party depends on when your account was created:
Funnelish Pte. Ltd., a company incorporated in Singapore (UEN 202556294D), registered office 68 Circular Road, #02-01, Singapore 049422 — for accounts created at or after 00:00 UTC on 21 October 2026.
Ginigo Ltd, a company incorporated in England and Wales (company number 10169897), registered office Gw 522, 5th Floor, The Grange, 100 High Street, London N14 6BN, United Kingdom — for accounts created before 00:00 UTC on 21 October 2026.
Your account’s creation timestamp, recorded in UTC, decides. Your contracting party is shown on your invoices and in your account settings. In these Terms, “Funnelish”, “we”, “us” and “our” mean your contracting party, and “Group” means both companies together. Either company may provide parts of the Services and may exercise rights under these Terms on behalf of the other.
These Terms are a binding agreement between you and your contracting party. They incorporate our Privacy Policy, our Data Processing Addendum (“DPA”), our Acceptable Use Policy, and any order form, plan page or feature-specific terms we present when you buy or enable something (together, the “Agreement”). If these documents conflict, an order form wins, then feature-specific terms, then these Terms, then the policies.
2. Business use only
The Services are provided for use in the course of a business, and for that purpose only. By creating an account you confirm that:
you are at least 18 years old and are acting on behalf of a business, whether that is a company, partnership, sole proprietorship or other commercial undertaking (“Customer”, “you”);
you have authority to bind that business to this Agreement;
you will not use the Services for personal, family or household purposes.
Because the Services are supplied business-to-business, consumer protection laws — including cooling-off periods, consumer cancellation rights and consumer implied-warranty rules — do not apply to this Agreement to the extent the law permits. Where a law gives you rights that cannot be excluded, nothing in these Terms limits them.
We may ask you for your business name, registration or tax identification number, website or other evidence of business use at any time, and may suspend an account until it is provided.
3. Your account
You must give accurate and complete registration and billing details and keep them current. You are responsible for everything done through your account, including by team members, agencies, contractors or other people you give access to. Keep your credentials secure, use two-factor authentication where we offer it, and tell us at support@funnelish.com immediately if you suspect unauthorised access.
Team members and collaborators you invite act on your behalf. You are responsible for their compliance with this Agreement and for removing access when it is no longer needed. Each account must be used by a single business; reselling, sharing or sub-licensing access is not permitted unless we agree in writing (for example under an agency or partner programme).
4. The Services
“Services” means the Funnelish platform and everything we make available through it: the funnel and page builder, storefronts, checkout, payment integrations and Funnelish Pay, subscriptions and customer portals, order management and fulfilment tools, analytics, Funnelish AI, messaging features (email and SMS), integrations with third-party services, our APIs, documentation, community and support.
We may add, change, retire or restrict features at any time. If a change materially reduces the core functionality of a paid plan, we will give you at least 30 days’ notice by email or in-app, and you may cancel before it takes effect for a pro-rated refund of prepaid, unused subscription fees for that plan.
Features marked beta, preview, early access or similar are provided for evaluation, may be withdrawn or changed without notice, may be less reliable, and are excluded from any service commitments.
We will use reasonable efforts to keep the Services available and to notify you of planned maintenance. We do not promise uninterrupted or error-free operation, and any uptime targets we publish are objectives, not guarantees, unless an order form says otherwise.
5. The Services
You use the Services to sell your own products and services to your own customers (“Shoppers”). You are the seller of record. We are a technology provider and are not a party to any sale between you and a Shopper. In particular, you are solely responsible for:
the products and services you sell, their legality, safety, quality, descriptions, pricing and claims, and for delivering what you sell;
your refund, return, shipping, subscription and cancellation policies, and for honouring them;
complying with the laws that apply to selling to your Shoppers wherever they are, including consumer protection, product safety, labelling, distance-selling, subscription and auto-renewal, advertising and marketing laws;
calculating, collecting and remitting sales tax, VAT, GST, duties and any other taxes on your sales (tools we provide to help calculate tax are aids, not tax advice, and you remain responsible for their configuration and results);
publishing your own privacy policy and terms on your storefront, and obtaining any consents your Shoppers’ data requires (see section 12);
handling Shopper complaints, disputes and chargebacks.
We may, but are not obliged to, review stores and content for compliance with this Agreement. We have no obligation to intervene in disputes between you and your Shoppers.
6. Payments and payment providers
Taking payments from Shoppers requires a payment provider. Depending on the provider you choose, that may be a third party you contract with directly (for example Stripe, Airwallex, PayPal, NMI or another gateway), or Funnelish Pay, which is subject to its own additional terms presented when you enable it.
Third-party providers are governed by their own agreements. Their fees, payout schedules, reserves, holds, chargeback rules and compliance requirements are theirs, not ours, and we have no control over them. You must meet their requirements, including Know-Your-Customer and PCI DSS obligations that apply to you.
Some providers pay us a referral or partner fee for merchants who connect through Funnelish. Those fees do not increase what you pay the provider and do not make us a party to your agreement with them.
Unless Funnelish Pay terms say otherwise, we do not hold, transmit or settle Shopper funds. Chargebacks, refunds and fraud losses on your sales are yours, and you authorise your provider and us to share transaction, risk and dispute data with each other to operate the Services and prevent fraud.
7. Fees, billing and taxes
Subscriptions
Paid plans are billed in advance, monthly or annually as selected, and renew automatically at the end of each term until cancelled. You authorise us and our payment processor (currently Stripe) to charge the payment method on file for all fees when due. If a charge fails we may retry, and we may suspend the account after notice until payment is received.
Usage-based charges
Some features are metered — including Funnelish AI, SMS, email sending and transaction-volume tiers — and are billed by usage or through prepaid credits. Prepaid credits are non-refundable, non-transferable, and expire 12 months after purchase unless the purchase page says otherwise. Metered charges are due on the invoice for the period in which the usage occurred.
Changes to pricing
We may change our prices with at least 30 days’ notice by email. Changes apply from your next renewal after the notice period. If you do not accept a change, cancel before it takes effect.
Refunds
If you cancel a paid subscription within 30 days of your first ever purchase of a subscription, you may request a full refund of that subscription fee by contacting support. Otherwise subscription fees are non-refundable, and cancelling ends the subscription at the end of the current paid term. Usage charges, credits, add-ons and fees for the current term are not refundable except where section 4 or section 20 says so.
Taxes
Our fees exclude all taxes. You are responsible for any VAT, GST, sales tax, withholding tax or similar tax on your purchase, other than taxes on our income. If you are a business customer outside the country of your contracting party, our supply is normally subject to the reverse charge: we do not charge VAT or GST, and you account for it yourself where your law requires. Provide a valid VAT, GST or other tax identification number if you have one; where you do not, you confirm you are acquiring the Services for business purposes. If a law requires you to withhold tax from a payment to us, you will gross up the payment so we receive the full invoiced amount, and give us evidence of the amount withheld.
Disputes
Raise any billing dispute within 60 days of the invoice date, after which it is deemed accepted. Do not initiate a chargeback against us for an amount you have not first disputed with us.
8. Acceptable use
You may not use the Services, and may not allow anyone else to use them, to:
sell or promote anything illegal where you or your Shoppers are, or anything on our restricted list in the Acceptable Use Policy — including counterfeit or infringing goods, weapons and weapon parts, controlled substances and drug paraphernalia, tobacco, vaping and nicotine products where restricted, adult content and services, gambling, unlicensed financial products, securities or cryptocurrency offerings, multi-level or pyramid schemes, and products with unsubstantiated health, earnings or “miracle” claims;
run deceptive practices such as hidden recurring charges, negative-option or “trial-to-rebill” traps that are not clearly disclosed, fake scarcity, fake reviews, drip-pricing, or any practice that regulators treat as a dark pattern;
send unsolicited or unlawful marketing by email, SMS or any channel, or send messages without the consents, identification and opt-out mechanisms the law requires (see section 9);
collect or process Shopper data unlawfully, or collect payment card data outside a PCI-compliant payment field;
upload malware, probe or attack our systems, bypass usage limits or security, scrape the Services, or interfere with other customers;
reverse-engineer, copy, resell, frame or build a competing product from the Services, or use our outputs to train a competing model;
use the Services in violation of sanctions, export-control or anti-money-laundering laws, or if you or your business is located in, or owned or controlled by a person in, a country or on a list subject to comprehensive sanctions by Singapore, the United Kingdom, the European Union, the United States or the United Nations;
infringe anyone’s intellectual property, privacy or other rights, or defame, harass or threaten anyone.
The Acceptable Use Policy contains the detailed and current list and forms part of this Agreement. We may remove content, limit features or suspend or terminate accounts that we reasonably believe breach this section, with notice where practicable.
9. Email, SMS and marketing messages
When you send email or SMS through the Services you are the sender. You are responsible for complying with the messaging laws that apply to you and your recipients, including the TCPA, CAN-SPAM Act and carrier (CTIA) rules in the United States, PECR and the UK GDPR in the United Kingdom, the ePrivacy Directive and GDPR in the EU, the Spam Control Act in Singapore, CASL in Canada, and the Spam Act in Australia. In particular you must hold the required consent before sending, identify yourself as sender, honour opt-outs promptly, and keep records of consent.
Carriers and inbox providers may block, filter or charge for traffic. We pass carrier and provider costs through to you as part of usage charges and may suspend sending where traffic generates complaints, spam-trap hits or carrier violations that threaten the deliverability of other customers.
10. Content and intellectual property
Your content
You own the content you upload or create with the Services — your pages, images, copy, product data, customer data and store configuration (“Customer Content”). You grant the Group a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, display, adapt and otherwise process Customer Content as needed to provide, secure, support and improve the Services and as permitted by the Privacy Policy and DPA. You warrant that you have the rights needed to grant that licence and that Customer Content does not infringe anyone’s rights or breach this Agreement.
Our platform
The Services, including all software, templates, designs, components, documentation, trade marks and the look and feel of the platform, are owned by Funnelish Pte. Ltd. and its licensors. You get a limited, non-exclusive, non-transferable right to use them under this Agreement, and nothing in it transfers any ownership to you. Templates and components we provide may be used only within the Services and within your own stores. “Funnelish” and our logos are trade marks of the Group; you may not use them without our written permission except to state that your store runs on Funnelish.
Feedback
If you send us suggestions or feedback, we may use them without restriction or compensation.
Copyright complaints
If you believe content hosted on the Services infringes your copyright, send a notice to legal@funnelish.com identifying the work, the infringing material and its location, your contact details, a statement of good-faith belief, and a statement under penalty of perjury that the notice is accurate and you are authorised to act. We act on valid notices under the U.S. DMCA and equivalent laws and may terminate repeat infringers.
11. Funnelish AI
Funnelish AI generates pages, copy, images, recommendations and other output from your prompts and account data using machine-learning models operated by us and by third-party model providers. AI output can be inaccurate, incomplete, biased or similar to output produced for others. You are responsible for reviewing it before use, and for any claims, pricing, legal statements or regulated content it contains. AI output is not legal, tax, medical or financial advice.
As between you and us, you own the AI output you generate, to the extent the law allows, and you grant us the same licence over it as over other Customer Content. We may use your prompts and output to operate, secure and improve Funnelish AI, including fine-tuning models used only within the Services; we do not sell them and do not allow third-party model providers to use them to train their general-purpose models. Usage limits, credits and fair-use rules for AI features are shown in the product and form part of this Agreement.
12. Data protection
How the Group handles personal data is described in the Privacy Policy. For personal data you collect from Shoppers and process through the Services, you are the controller (or business) and we act as your processor (or service provider) under the DPA, which forms part of this Agreement and applies automatically. The DPA includes the Standard Contractual Clauses and the UK International Data Transfer Addendum for transfers where required.
You must: publish a privacy policy on your storefront that accurately describes your use of the Services and our role; have a lawful basis for the Shopper data you process; obtain any consents the law requires, including for cookies, tracking pixels and marketing; not collect special-category or sensitive data (health, biometric, financial account credentials, children’s data) through the Services unless the feature is designed for it and you have the required consents; and respond to Shoppers’ data-subject requests, which we will help you with as the DPA describes.
13. Third-party services and integrations
The Services connect with third-party platforms and apps — such as Shopify, payment providers, shipping and fulfilment services, advertising and analytics platforms, and apps in any marketplace we offer. Those services are governed by their own terms and privacy policies, we are not responsible for them, and your use of them is at your own risk. By connecting a third-party service you authorise us to exchange data with it as needed for the integration to work. We may suspend or remove an integration if the third party changes or withdraws it, or if it creates security, legal or operational risk.
14. Affiliate programme and partner offers
Participation in the Funnelish affiliate programme is governed by the separate affiliate terms. Commissions may be paid by either Group company. Discounts, credits or promotional offers we make from time to time are subject to the conditions stated with the offer and may be withdrawn or changed.
15. Affiliate programme and partner offers
Each of us will keep the other’s non-public information confidential and use it only for this Agreement, except where disclosure is required by law or the information is already public through no fault of the recipient. Our confidentiality obligations are set out in more detail in the DPA for personal data; for other information this section applies for the term of the Agreement and three years after.
16. Warranties and disclaimers
We warrant that we will provide the Services with reasonable skill and care. Except for that warranty and any warranty that cannot be excluded by law, the Services, Funnelish AI, templates, documentation and support are provided “as is” and “as available”, and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy and uninterrupted or error-free operation. We do not warrant that the Services will produce any level of traffic, conversions, sales or revenue, or that they will meet the legal requirements of any particular jurisdiction for your business.
17. Limitation of liability
Nothing in this Agreement limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited by law.
Subject to that, neither Group company, nor our directors, employees, contractors or licensors, will be liable under or in connection with this Agreement, in contract, tort (including negligence), breach of statutory duty or otherwise, for: loss of profits, revenue, sales, business, goodwill or anticipated savings; loss or corruption of data (other than as the DPA provides); the cost of substitute services; chargebacks, refunds, fines or penalties on your sales; or any indirect, consequential, special, punitive or exemplary loss, in each case even if foreseeable.
Subject to the above, the total aggregate liability of the Group under or in connection with this Agreement in any 12-month period will not exceed the fees you paid to us for the Services in the 12 months before the event giving rise to the claim (or, if the claim arises in the first 12 months, the fees paid up to the date of the claim).
These limits reflect the price of the Services and the allocation of risk between businesses, and they apply to the fullest extent permitted by the law of the country of your contracting party.
18. Indemnity
You will defend, indemnify and hold harmless each Group company and our directors, employees, contractors and licensors from and against all claims, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising from: the products and services you sell and your dealings with Shoppers; your Customer Content and your use of AI output; your breach of this Agreement, the Acceptable Use Policy or the DPA; your marketing and messaging; taxes on your sales; and any claim that your business or Customer Content infringes or misappropriates a third party’s rights or breaches applicable law. We will notify you promptly of any claim and let you control its defence, provided you do not settle in a way that admits fault on our behalf or imposes obligations on us without our consent.
19. Suspension and termination
By you
You may cancel your subscription at any time from Settings → Billing, or by contacting support. Cancellation takes effect at the end of the current paid term; you may keep using the Services until then.
By us
We may suspend some or all of the Services, or terminate this Agreement, with notice where practicable, if: you are in material breach and (where the breach is curable) do not cure it within 10 days of notice; you do not pay fees when due; your use creates security, legal, fraud, chargeback or reputational risk for us, other customers or our providers; a payment provider or partner requires it; we are required to by law; or you become insolvent or cease business. We may also terminate for convenience on 30 days’ notice, in which case we will refund prepaid, unused subscription fees.
Effect
On termination your right to use the Services ends. For 30 days after termination you may export your Customer Content through the tools we provide; after that we may delete it as the Privacy Policy and DPA describe, except where we must keep records by law. Fees accrued before termination remain payable. Sections that by their nature should survive — including 7 (fees), 10 (IP), 12 (data), 15 to 18, this section and 21 to 22 — survive.
20. Changes to these Terms
We may update these Terms from time to time. For material changes we will give at least 30 days’ notice by email to your account owner or by an in-app notice before they take effect; other changes take effect when posted. The “Effective” date at the top shows the current version. If you do not agree to a change, cancel before it takes effect; continuing to use the Services after that date means you accept it. We keep earlier versions available on request.
21. Governing law and disputes
Which law and courts apply depends on your contracting party:
Funnelish Pte. Ltd.: this Agreement is governed by the laws of Singapore. Any dispute will be resolved by arbitration administered by the Singapore International Arbitration Centre under its rules in force when the notice of arbitration is filed, seated in Singapore, before one arbitrator, in English. The SIAC expedited procedure applies where available. Either party may instead bring a claim in the Singapore courts for amounts within the small-claims or simplified-procedure limits, or seek injunctive relief in any court.
Ginigo Ltd: this Agreement is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that either party may seek injunctive relief in any court.
Before starting formal proceedings, each party agrees to try in good faith to resolve the dispute by discussion between senior representatives for at least 30 days.
If you are located in the United States, you and we agree that disputes will be resolved only on an individual basis and not as a class, collective or representative action, and each of us waives any right to a jury trial, in each case to the extent permitted by law. The Services are not directed at consumers, and this section is not intended to limit any non-waivable right of a consumer.
22. General
Assignment. You may not assign or transfer this Agreement without our written consent, which we will not unreasonably withhold for a transfer to a successor of your whole business. We may assign or transfer this Agreement, in whole or part, to another Group company or to a successor of our business on 30 days’ notice to you; the assignee becomes your contracting party from the date stated in the notice.
Entire agreement. This Agreement is the whole agreement between us about the Services and replaces any earlier terms, including terms of service published before 21 October 2026. Neither party relies on any statement not set out in it.
Notices. We give notices to the email address of your account owner or in the app; you give notices to legal@funnelish.com with a copy to your contracting party’s registered office. Notices by email are effective when sent.
Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including outages of third-party providers, carrier or payment network failures, internet failures, acts of government, war, terrorism, pandemic, natural disaster or labour disputes, except for payment obligations.
Export and sanctions. You will comply with applicable export-control and sanctions laws in using the Services.
Relationship. We are independent contractors. Nothing creates a partnership, joint venture, agency, franchise or employment relationship.
Severability and waiver. If any part of this Agreement is unenforceable, the rest remains in effect and the unenforceable part is read as narrowly as needed to make it enforceable. A failure to enforce a right is not a waiver of it.
Third parties. Each Group company may enforce this Agreement. Otherwise no third party has rights under it, including under the Contracts (Rights of Third Parties) Act 1999 (UK) or the Contracts (Rights of Third Parties) Act 2001 (Singapore).
Language. This Agreement is in English. Translations are for convenience only.
